NOTICE IS HEREBY GIVEN THAT the Annual General Meeting (AGM) of the Unit Holders of

Republic Future Plan (F-Plan) at 9.00am
Republic Equity Trust at 10:30am
Republic REIT at 12:00noon
Republic Unit Trust at 1.30pm

will be held virtually via Zoom to transact the following business:

To notify Unit Holders of the following:

Extension of Appointment of the Auditor

That the appointment of the Auditor of the Fund, John Kay & Co. has been extended for one (1) more year to align with the requirements of Section 197 (4) of the Securities Industry Act, 2016 (Act 929).

Ordinary Business

To receive the Report of the Manager for the Year 2021.
To receive and adopt the Annual Report and the Audited Statement of Income and Expenditure for the financial year ended December 31, 2021, together with the Trustee's Report and Auditor's Report thereon.
To authorize the Fund Manager to fix the remuneration of the Auditors for the year 2022.

Note

General
Following the amendment of the Constitution of the Fund Manager, which permits the Fund Manager to hold virtual or hybrid General Meetings as and when the Fund Manager deems it fit so to do, attendance and participation by all members and/or their proxies at this year’s AGM shall be strictly virtual or by electronic means (online participation).

To Register for the AGM

The registration link shall be forwarded to the email addresses and contact numbers of Unit Holders to enable those who wish to participate in the AGM to register accordingly.

Unit Holders shall be required to provide relevant information to complete the registration process.

After registering, Unit Holders will receive a confirmation email containing information about joining the AGM.

To Participate in the AGM

Ensure you have downloaded the Zoom Application unto your device.

Raise your hand to either second a motion or ask a question
On PC
• Click “Participants”
• Click “Raise Hand” at the bottom of the participants’ dialogue box.
On Mobile
• Tap the three dots labeled “More” on the far right of the control bar.
• Tap “Raise Hand” to raise hand
Type your question
On PC
• Click “Q&A” at the bottom of the participants’ dialogue box
• Type your question and submit.

On Mobile
• Tap the three dots labeled “More” on the far right of the control bar
• Click “Q&A” to type your question.
Use the polling feature to vote for or against a motion.
On PC or Mobile
• When it is time to vote, the poll will appear on your screen.
• Tap/Click your preferred option (FOR or AGAINST) to cast your vote.

When voting ends, the results will be shared on your screen.

A Unit Holder who is entitled to attend and vote may appoint a proxy to attend and vote on his/her behalf. A proxy need not be a unit holder. A completed proxy form should be deposited at the registered office of the Fund Manager at No. 48A, Sixth Avenue, North Ridge, Accra or via email to investments@republicghana.com not later than 48 hours before the appointed time of the meeting.

A proxy form is provided in the Annual Reports of the Fund and is also available below.

All relevant documents in connection with the meeting are available to unit holders from the date of this Notice on the Company’s website (www.republicinvestmentsgh.com) and at the Company’s registered office aforesaid.

Getting Started
Here are some useful things to know before using Zoom
- Zoom is an internet-based service

What You Need

You will need a phone, laptop or PC to participate in the Zoom meeting.
Joining A Meeting
Before you join any of the Annual General Meetings, you will need to register for the meeting. After registering, you will receive an email containing the link to join the meeting. This is how you can join:

On your phone
- Click on the meeting link (usually in blue). A dialogue box will appear requesting you to choose if you want to access the meeting on the Zoom application (if you have it downloaded) or through your browser.
- If you have already installed the application, selecting the zoom application will allow you to join the meeting instantly.
- If you haven’t downloaded the Zoom application, you will be redirected to the Zoom webpage. You can then choose whether to download the application or continue the meeting in the mobile web browser.
- Select “Connect audio” to be able to hear proceedings and choose whether you want to turn on your video. (Note: You will still be able to view the meeting even if your video is turned off. The “turn on video” option is to show your face to other participants).
On the Zoom desktop application
- Click on the meeting link (usually in blue) to be redirected to the Zoom desktop application.
- You will join the meeting instantly.
- Select “Connect audio” to be able to hear proceedings and choose whether you want to turn on your video. (Note: You will still be able to view the meeting even if your video is turned off. The “turn on video” option is to show your face to other participants).
On the Zoom web application
- Click on the meeting link (usually in blue) to be redirected to the Zoom website.
- Zoom will attempt downloading the desktop application. Ignore this request and find “if you cannot download or run the application, click here to launch the meeting” at the bottom of the screen. Click on “click here” to continue the meeting through the web application.
- You will be asked whether you want to join with computer audio and/or video.
- Select “Connect audio” to be able to hear proceedings and choose whether you want to turn on your video. (Note: You will still be able to view the meeting even if your video is turned off. The “turn on video” option is to show your face to other participants).
Other Zoom Features
To rename yourself

If the name you used to register for the meeting is not what we have in our records, you can rename yourself for consistency.

How to rename yourself (On PC and mobile)
- Click/tap on “Participants”.
- Find your name from the list of participants.
- Click/tap your name and select “Rename” from the drop-down menu.
- Type in the new name you want and select “Ok”.

To ask a question or second a motion, use the raise hand feature. You will be unmuted to perform the action for which your hand was raised.

On PC:
- Click “participants”.
- Click “raise hand” at the bottom of the participants dialogue box.
On mobile:
- Tap the three dots labeled ``more`` on the far right of the controls bar.
- Tap raise hand to raise your hand.
To chat

You can also use the chat feature to send questions if you prefer not to use the raise hand feature.

On PC
- Click on “Chat”.
- Type in your question to the host (Databank).
On mobile
- Tap the three dots labeled “More” on the far right of the control bar at the bottom of your screen.
- Select “Chat” and type in your question to the host (Databank).
To vote
